About the Company
Our client is a growing Personal Care company with a strong presence in the consumer and FMCG space. With an expanding business portfolio and increasing corporate activity, the company operates across a broad range of commercial arrangements and strategic transactions, creating the need for a senior legal professional who can support business growth while strengthening corporate governance and legal risk management.

About the Role
Our client is looking for a Head of Legal & Corporate Secretary to lead its in-house legal and corporate function within a growing Personal Care / FMCG business. This is a relatively senior role requiring broad exposure across corporate, commercial, M&A, capital markets, litigation, licensing, and corporate governance matters. The successful candidate will work closely with the Board and senior management, external legal counsel, and internal stakeholders to provide practical, commercially sound legal advice while managing legal and reputational risks.

Key Responsibilities
  • Advise the Board of Directors and senior management on corporate, commercial, transactional, regulatory, litigation, and reputational matters, providing practical solutions that balance legal protection with business objectives.
  • Assess corporate transactions involving affiliated and non-affiliated entities, including potential legal, governance, and anti-monopoly considerations across transactions between different entities.
  • Conduct and support M&A and acquisition activities, including legal due diligence, transaction documentation, and coordination with external law firms.
  • Draft, review, and negotiate a broad range of commercial agreements relevant to the FMCG and Personal Care business, including export and trade arrangements, consignment, marketing, advertising/TVC, agency, call, and other commercial contracts.
  • Lead corporate and capital markets matters, including corporate structuring, intercompany transactions, governance requirements, and the legal implications of strategic corporate activities.
  • Manage litigation, disputes, and external legal matters, advising the Board on potential exposure while coordinating with external counsel and relevant stakeholders, including matters involving public figures, brand ambassadors, PERADI, or LBH-related issues.
  • Oversee the legal function and develop a high-performing team covering corporate law, due diligence, litigation, and licensing, while ensuring effective coordination with external legal advisers.
  • Provide strategic support on legal and reputational risk management, particularly where commercial decisions, brand reputation, public-facing individuals, or other sensitive external issues may create legal exposure.
Key Requirements
  • Bachelor's or Master's degree in Law from a reputable university; a valid PERADI license or other relevant professional legal qualification will be an advantage.
  • Excellent communication, negotiation, influencing, and stakeholder management skills, with the ability to engage effectively with senior management, regulators, government authorities, and external counsel.
  • Minimum of 10 years of progressive legal experience, preferably combining leading law firm and in-house exposure within healthcare, pharmaceutical, medical services, FMCG, retail, aesthetics, or other highly regulated industries.
  • Proven experience in managing end-to-end corporate legal matters, including commercial contracts, corporate governance, restructuring, joint ventures, employment matters, disputes, and regulatory advisory.
  • Strong business acumen and legal judgment, with the ability to understand commercial priorities and translate complex legal and regulatory issues into practical, actionable recommendations.
  • Strong knowledge of Indonesian corporate, healthcare, employment, licensing, and regulatory frameworks, with experience engaging relevant government authorities and managing operational permits.
  • Strong leadership capabilities, with experience managing legal teams and coordinating effectively with internal stakeholders and external legal counsel.
  • Exposure to public company environments, Corporate Secretary responsibilities, or capital markets transactions will be highly regarded.
